1 Agreement to Terms

Welcome to HireMomentum. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "User", "you") and HireMomentum ("HireMomentum", "we", "us", or "our"), regarding your access to and use of https://hiremomentum.tech and any related services, systems, or software provided by HireMomentum.

By accessing our website, booking a discovery call, or engaging our automation services, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree with any part of these Terms, you must immediately discontinue use of our website and services.

2 Description of Services

HireMomentum is an AI automation agency specializing in done-for-you systems for recruitment and staffing agency owners. Our flagship offering is the Search Intent Scraping System (SISS), along with associated pipeline architecture and outbound automation.

Our services include, but are not limited to:

• Signal-Based Scraping: Automated scraping and parsing of public hiring signals (such as open job listings, company funding rounds, and executive appointments).
• AI Filtering and Lead Scoring: Automated LLM evaluation to filter out staffing competitors, internal promotions, and irrelevant roles.
• Waterfall Enrichment: Enriching matched target companies with verified decision-maker contact details.
• System Orchestration: Deploying and maintaining custom workflows on modern automation infrastructure (such as n8n, Airtable, and outbound sending engines).
• Onboarding and Support: Dedicated onboarding, system calibration, and ongoing workflow maintenance as defined in your specific client agreement.

3 Client Responsibilities and Acceptable Use

To ensure smooth system installation and operation, you agree to:

• Provide accurate, current, and complete business information during onboarding and discovery sessions.
• Designate an authorized point of contact for technical approvals, feedback, and system verification.
• Maintain active subscriptions and sufficient credits on your chosen third-party platforms (such as Airtable, Smartlead, or cloud hosting) where required by your architecture.
• Refrain from using our systems for any unlawful, harassing, fraudulent, or harmful purposes.

4 Outbound Marketing and Legal Compliance

While HireMomentum designs and builds the technical automation infrastructure, you retain ultimate control and ownership over your outbound sales campaigns and messaging.

You acknowledge and agree that:

• You are responsible for ensuring that all outbound emails, LinkedIn messages, SMS, or phone communications comply with applicable local and international marketing regulations, including the US CAN-SPAM Act, the EU General Data Protection Regulation (GDPR), the UK Data Protection Act, and the Canadian Anti-Spam Legislation (CASL).
• You will maintain accurate business contact information, clear sender identification, and functional opt-out mechanisms in all outbound communications.
• You will adhere to the terms and platform guidelines of third-party platforms utilized in your outreach (such as LinkedIn and email providers).

5 Third-Party Tools and API Keys

Our systems integrate with independent third-party services and APIs (including n8n, Airtable, Apify, Smartlead, ZeroBounce, Tavily, and Google Workspace).

6 Intellectual Property Rights

A. HireMomentum Property

All website design, text, graphics, logos, brand elements, proprietary workflow schemas, code frameworks, and documentation developed by HireMomentum prior to or independently of a specific client contract remain the exclusive intellectual property of HireMomentum.

B. Client Deliverables and Private Data

Upon full payment of all applicable setup fees and invoices, you receive a perpetual, non-exclusive license to use and operate the configured system instances installed in your environment. All client lead data, prospect records, and campaign copy generated within your private systems remain your sole property.

7 Fees, Invoicing, and Retainers

Service fees, setup costs, and ongoing monthly retainer amounts are detailed in your individual proposal or invoice.

• Payment Terms: Invoices are due upon receipt or according to the payment schedule agreed upon prior to project kickoff.
• Monthly Retainers: Ongoing maintenance and optimization retainers are billed on a recurring monthly cycle. Retainers may be cancelled at any time with 30 days written notice before the next renewal date.
• Refund Policy: Due to the extensive labor and custom technical engineering required for system builds, setup fees are non-refundable once installation work has commenced, unless explicitly stated in writing in your client agreement.

8 Performance and Guarantees

HireMomentum builds robust, verified technical systems designed to systematically identify and deliver high-intent sales opportunities. However, business outcomes depend on multiple external factors outside our direct control, including your agency's closing capabilities, candidate market conditions, candidate fee pricing, and third-party platform deliverability.

Except as explicitly provided in an individual written agreement, our systems and website are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

9 Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall HireMomentum, its founder, contractors, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, business opportunities, or goodwill arising out of or in connection with your use of our website, systems, or services.

In all events, HireMomentum's total aggregate liability arising out of or related to these Terms or our services shall not exceed the total amount actually paid by you to HireMomentum during the three (3) months immediately preceding the event giving rise to the claim.

10 Indemnification

You agree to defend, indemnify, and hold harmless HireMomentum, its founder, and affiliates from and against any claims, liabilities, damages, judgments, losses, costs, or expenses (including reasonable attorney fees) arising out of or related to your breach of these Terms, your outbound sales messaging, or your violation of any third-party rights or applicable laws.

11 Term and Termination

These Terms remain in full effect while you browse our website or maintain an active service engagement with HireMomentum.

• Termination by Client: You may cancel ongoing retainer agreements by providing 30 days written notice to hello@hiremomentum.com.
• Termination by HireMomentum: We reserve the right to suspend or terminate services immediately if you breach these Terms, fail to make required payments, or engage in abusive conduct.

12 Governing Law and Dispute Resolution

These Terms and any disputes arising out of or relating to them shall be governed by and construed in accordance with the laws applicable to HireMomentum's commercial operations.

Both parties agree that before initiating formal legal proceedings, they will make good-faith efforts to resolve any dispute, claim, or controversy through informal negotiations for a period of at least thirty (30) days following written notice of the dispute.

13 Modifications to Terms

HireMomentum reserves the right to revise and update these Terms of Service at any time. When modifications are made, the revised version will be published on this page with an updated "Last Updated" date. Continued use of our website or services following the posting of changes constitutes acceptance of those changes.
